Article I

Name: The name of this organization shall be "Magic Valley Men of A-Chord".

Article II

Purpose: The purpose of the organization shall be to build a non-profit chorus dedicated to singing Barbershop style music, developing the highest possible standards of performance.

Article III

Members: Section 1. Any man of any age who is willing to commit to the purpose of this organization as described in Article II above is eligible for membership. Section 2. Standards and requirements for admission to membership shall be to: (a) Exhibit an attitude of willingness to work toward the desired excellence of performance. (b) Give an adequate priority to rehearsal and performance attendance. Section 3. All members are classified as chorus members. Members may and are encouraged to form quartets, but they are still chorus members and will participate in all chorus rehearsals. Members may participate in performances when they demonstrate an ability to sing the music. Section 4. Chorus Rehearsals. Regular chorus rehearsal meetings shall be held weekly on an evening determined by the Executive Board to be most satisfactory to most members, for a period of time determined to be most satisfactory.

Article IV

Dues Section 1. Membership dues shall be established as deemed appropriate by the Board and shall be payable on January 1 of each new year. Section 2. The Executive committee shall have the power to waive dues in certain cases, if it is determined the individual situation warrants a waiver.

Article V

Election of Officers Section 1. Officers shall be elected annually, prior to February 1 and the term of office shall run from April 1st through March the 31st. A nominating committee shall be appointed by the Executive Committee prior to January 15, which committee shall name candidates for election. Nominations from the floor may also be made at election time. All nominees for office must be contacted in advance, whether nominated by the executive committee or by nomination from the floor and agree to serve if elected. Either the President or Vice-President will be a November through March member. Section 2. Any office vacated during the year shall be filled by appointment of the Executive Committee for the remainder of the year. Incumbent officers shall remain in office until election of their successors.

Officers Section 3. The elected officers shall be:

(a) President

(b) Vice-president

(c) Secretary

(d) Treasurer

(e) Music Librarian

(f) Uniform Chairman

(g) Public Relations Chairman

(h) Immediate Past-President

(i) Chorus Musical Directors

(j) Membership Chairman

(k) 2 Members at large (short timers)

(l) Director coordinator

Section 4. The Executive Committee will consist of the four elective officers and the Director coordinator. It shall be empowered to act on behalf of the Board in the interim. They shall be answerable to and shall report any such interim action to the Board at the next meeting. The Executive Committee shall be empowered to act on any matter assigned to it by the Board.

Section 5. The Board of Directors shall consist of all the officers (both elective and non-elective listed above. A simple majority of the board members shall constitute a quorum. The Board of Directors meetings will be held at a place and time designated by the president.

Section 6. The duties of the officers shall be:

(a) The President shall preside at meetings of the Executive Committee and the Board of Directors, appoint committees as needed and fulfill such other duties deemed appropriate for conducting the business of the organization. He shall be a member ex-officio of all appointed committees.

(b) The Vice-president shall be the Historian and will perform all the duties of the President in his absence.

(c) The Secretary shall keep the minutes of the business meetings of the Executive Committee and the Board in a neat and orderly fashion and shall maintain a roster of all members reflecting name, address, phone number, winter address, name of wife, voice part, summer address and phone number. He shall maintain an inventory of the physical assets of the organization and be custodian of all records and important documents.

(d) The Treasurer shall have custody and be responsible for all Monies received, prepare and submit a report of expenses and income to the Board on a regular basis. The Treasurer shall prepare a proposed budget for the fiscal year (Nov 1 - Oct 31) and submit same to the Board of Directors of Directors before March 30. The signature card for the checking account shall contain the names of the President, Treasurer and the Secretary, any officer being authorized to sign checks. An audit shall be done annually by a person appointed by the Executive Committee.

Section 7. The duties of the non-elected officers shall be:

(e) The Music Librarian shall maintain files of the musical repertoire. All printed music scores shall be under the control the Librarian. New members shall be provided with chorus repertoire. Music must be returned to the librarian if membership expires, or upon request.

(f) The Uniform Chairman shall provide and assign an official chorus uniform to each member. Additional uniform items may be prescribed as necessary and each member may be asked to invest in selected uniform accessories. Quartets may use chorus uniforms for singing engagements only when they represent themselves as members of the Magic Valley Men of A-Chord. Uniforms are to be returned to the Uniform Chairman upon request.

(g) The Public Relations Chairman will schedule all chorus performance engagements, after presenting the requested dates to the Executive Board as they are received for approval with a maximum number being 12. Additional performances will need Chorus approval. A schedule with directions will be provided to each member.

(h) The Immediate Past President will serve as a resource person for elective and non-elective officers and will participate in all Board meetings.

(i) The Chorus Musical Directors are in complete charge of the chorus during rehearsals and performances. They will place new member in the proper section and will as a committee of Directors and section representatives, select the music to be performed by the chorus.

(j) The Membership Chairman will be responsible to meet & introduce visitors, provide music and indoctrinate them into the requirements of membership.

(k) The Director coordinator shall be selected by the Executive Committee and shall be responsible for selecting and scheduling the other directors.

Article VI

Committees: The President shall appoint standing committees as deemed necessary, as well as committees for special occasions, as needed to carry on the work of the organization.

Article VII

Parliamentary Authority: In cases in which parliamentary procedure guidance is needed or in which parliamentary procedure is questioned, the rules contained in "Roberts Rules of Order shall govern.

Article VIII

Amendments: These by-laws may be amended at any regular rehearsal meeting of the organization by a two-thirds vote of approval of those members attending, provided written notice of the proposed revision has been given each member at least seven days in advance, such notice also stating the time and place of the proposed revision vote.

Article IX

Dissolvement In the event the Magic Valley Men of A-Chord no longer exist, the assets will be distributed by the current Executive Committee to a like non-profit organizations in the local area..
